FROM SAVINGS TO SHARES: The guide to investing in Dangote Refinery IPO

The Dangote Petroleum Refinery and Petrochemicals FZE is set to open what is described as Africa’s largest-ever Initial Public Offering on September 14, giving members of the public an opportunity to acquire shares in the multibillion-naira refinery.

Dangote Group Chief Executive Officer, Aliko Dangote, signed the offer documents on September 7 at Eko Hotels and Suites, Victoria Island, Lagos, alongside advisers and issuing houses handling the transaction.

The offer consists of 4.1 billion ordinary shares at N525 each, with the company seeking about N2.15tn to support an expansion that is expected to almost double the refinery’s capacity to 1.4 million barrels per day.

For prospective investors, participation begins with establishing the right investment accounts before the offer opens.

Opening a brokerage account

Anyone without an existing stock trading account will need to register with a stockbroking firm licensed by the Securities and Exchange Commission and the Nigerian Exchange.

Many brokers provide online registration, with applicants generally required to provide their Bank Verification Number, valid identification and passport photograph to satisfy Know-Your-Customer requirements.

Investors are advised to verify the regulatory status of their chosen broker through the SEC or NGX before transferring funds.

Getting a CSCS account

Shares traded on the Nigerian Exchange are held electronically through the Central Securities Clearing System rather than through physical certificates.

A new investor’s broker will ordinarily arrange a CSCS account or connect an existing one to the trading account, while successfully allotted Dangote Refinery shares will subsequently be credited electronically.

Completing verification and funding

The brokerage firm must complete the investor’s identity checks before the account can be used for the subscription.

Once activated, the account can be funded ahead of the offer, with the minimum application set at 10 shares, translating to N5,250 at N525 per share.

Dangote has described the relatively low entry point as a deliberate attempt to make ownership accessible to ordinary workers, including drivers, cooks and domestic staff, calling it “the IPO for the people.”

When and how to apply

The offer, coordinated by Lagos-based Vetiva Advisory Services Limited following SEC approval, is scheduled to open on September 14 and close on October 13, 2026.

Investors should rely on the final prospectus and official offer documents for the precise application procedure and approved channels, particularly because public interest has already been significant following Dangote’s private placement in July, which was reportedly oversubscribed by 270 per cent.

Applications are expected to be made through participating stockbrokers and other platforms identified in the official documents, potentially including selected fintech and mobile investment applications.

The Securities and Exchange Commission has warned Nigerians against unauthorised persons collecting money for Dangote Refinery shares, making it important for applicants to confirm that any platform they use is officially recognised before making payment.

What happens after application?

Submitting an application does not necessarily mean an investor will receive every share requested, particularly if demand exceeds the number available.

Where the offer is oversubscribed, allocations may be reduced, while money relating to shares that are not allotted should be refunded in line with the terms contained in the prospectus.

Successful investors will have their allotted shares credited to their CSCS accounts, after which they can monitor their holdings through their brokers.

Following the listing of the shares on the Nigerian Exchange, investors will be able to retain them or sell through their brokers at prevailing market prices, with the value determined by company performance, investor sentiment and wider market conditions.

Prospective shareholders are therefore advised to study the final prospectus and offer documents when published and independently confirm the offer price, deadlines and approved application channels through the issuing houses, NGX or SEC before committing their funds.
